Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and reinvest.top llc ("Company," "we," "us," or "our") governing your access to and use of the Calorica - AI Calorie Counter mobile application (the "App").

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the App. We reserve the right to update or modify these Terms at any time. Your continued use of the App after any such changes constitutes your acceptance of the new Terms.

IMPORTANT: The App is not a medical device and does not provide medical advice, diagnosis, or treatment.

Calorica is a nutrition tracking tool designed to help you monitor your calorie and macronutrient intake. You must understand and agree to the following:

• The App is not a substitute for professional medical advice, diagnosis, or treatment from a qualified healthcare provider, registered dietitian, or licensed nutritionist.
• The Company is not a licensed dietitian, nutritionist, medical professional, or healthcare provider. No information provided by the App should be interpreted as professional dietary or medical advice.
• Calorie and macronutrient estimates generated by the App (including those from AI food recognition, voice logging, and barcode scanning) are approximations only. Actual nutritional values may vary significantly based on portion sizes, preparation methods, ingredient variations, and other factors.
• AI-generated nutrition coaching suggestions and insights are for informational and educational purposes only and should not replace guidance from qualified professionals.
• You should always consult a qualified healthcare professional before making significant changes to your diet, especially if you have pre-existing health conditions, food allergies, eating disorders, or other medical concerns.
• If you are experiencing a medical emergency, call your local emergency services immediately. Do not rely on the App for emergency medical guidance.

By using the App, you acknowledge that you use any information provided by the App at your own risk and that the Company shall not be liable for any health-related outcomes arising from your use of the App.

The App utilizes artificial intelligence to provide certain features, including but not limited to food photo recognition, voice meal logging, barcode-based nutrition lookup, and an AI Nutrition Coach. These AI features are powered by Microsoft Azure OpenAI Service.

You acknowledge and agree that:

• AI-generated results (calorie counts, macro breakdowns, food identification, and nutrition suggestions) are estimates and approximations that may contain errors or inaccuracies.
• The AI may occasionally misidentify foods, miscalculate portion sizes, or provide incorrect nutritional information. You should review all AI-generated data for accuracy before relying on it.
• Food photos and voice-derived text descriptions are transmitted to Microsoft Azure OpenAI Service for processing. These transmissions are encrypted and the data is not used to train AI models.
• AI features require an active internet connection and may be temporarily unavailable due to service disruptions.
• The Company continuously works to improve AI accuracy but does not guarantee the accuracy, completeness, or reliability of any AI-generated content.

Calorie and macronutrient estimates provided by the App are approximations derived from AI analysis, third-party nutrition databases, and user-reported data. These estimates may not reflect the exact nutritional content of the food you consume.

Factors that may cause discrepancies include:

• Variations in food preparation methods (e.g., frying vs. baking).
• Differences in portion sizes between what is analyzed and what is consumed.
• Ingredient substitutions or regional variations in food products.
• Limitations of AI visual recognition (e.g., hidden ingredients, sauces, or toppings).
• Barcode database entries that may be outdated or contain errors.

The Company is not responsible for any decisions you make based on the nutritional information provided by the App. For precise dietary planning, consult a registered dietitian or nutritionist.

Calorica offers premium features through auto-renewable subscription plans. By subscribing, you agree to the following:

• Subscriptions are billed through your Apple ID account and are managed entirely by Apple.
• Subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the end of the current period.
• Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period at the rate of the selected plan.
• You may manage and cancel your subscription at any time through your device's Settings > Apple ID > Subscriptions.
• Refunds are handled by Apple in accordance with Apple's refund policies. The Company does not process refunds directly.
• Free trial periods, if offered, will automatically convert to a paid subscription at the end of the trial unless cancelled beforehand.
• The Company reserves the right to change subscription pricing. Any price changes will take effect at the start of the next billing cycle following notice of the change.

The App integrates with Apple HealthKit to read activity data and write nutrition data. By enabling HealthKit integration, you agree that:

• HealthKit access is optional and requires your explicit permission via iOS system prompts.
• Data read from HealthKit (steps, active calories, weight, heart rate) is used solely to personalize calorie recommendations and provide activity-aware nutrition insights within the App.
• Data written to HealthKit (dietary energy, protein, carbohydrates, fat) reflects the meals you log in the App.
• HealthKit data is never shared with third parties, including advertisers, analytics providers, or data brokers.
• HealthKit data is never used for advertising or marketing.
• HealthKit data is never sold.
• You may revoke HealthKit permissions at any time through the Health app on your device.
• The accuracy of data read from HealthKit depends on your connected devices and sensors. The Company is not responsible for inaccurate data from third-party devices.

You agree not to:

• Use the App for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App.
• Circumvent, disable, or otherwise interfere with security-related features of the App.
• Use the App to transmit harmful, offensive, or inappropriate content through any AI-interactive feature.
• Use automated systems (bots, scrapers, etc.) to access the App or its services.
• Share your account credentials with third parties.
• Misrepresent the App's AI-generated outputs as professional medical or dietary advice to others.

You may delete your account at any time from within the App by navigating to Profile > Delete Account. Account deletion will:

• Permanently remove your account credentials and profile information from our servers.
• Permanently delete your nutrition logs and preferences stored on our servers.
• Clear locally stored data on your device.

Account deletion does not:

• Cancel any active subscriptions. You must cancel your subscription separately through your Apple ID settings before or after deleting your account.
• Remove data previously written to Apple HealthKit. You can manage HealthKit data directly through the Health app.

We reserve the right to suspend or terminate your account if you violate these Terms, without prior notice.

The App and its original content (excluding content provided by users), features, and functionality are owned by reinvest.top llc and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the App or its content without our prior written consent.

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

THE COMPANY DOES NOT WARRANT THAT:

• The App will be uninterrupted, timely, secure, or error-free.
• AI-generated results will be accurate, complete, or reliable.
• The nutritional information provided will be suitable for any particular dietary need or health condition.
• Any defects in the App will be corrected.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, HEALTH, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use of or inability to use the App.
• Any inaccurate calorie, macro, or nutritional estimates.
• Any health-related decisions made based on information provided by the App.
• Unauthorized access to or alteration of your data.
• Any third-party conduct or content within the App.

IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR FIFTY DOLLARS ($50), WHICHEVER IS GREATER.

You agree to defend, indemnify, and hold harmless the Company, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the App, your violation of these Terms, or your violation of any rights of a third party.

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the App shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding your use of the App and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
